REQUIRED DOCUMENTS FOR BUSINESS ENTITY ESTABLISHMENT

The following documents are to be submitted with the application for the establishment of business entities to the Business Registers Agency (with proof of effected payment of the registration fee):

For limited liability companies:

The following is to be enclosed with the registration application:

  • evidence of founder’s identity (photocopy of identity card or passport of physical entity and/or excerpt from the register in which the legal entity is registered)
  • company founding document (decision or contract), with certified signatures of founders
  • bank certificate on effected payment of pecuniary stake onto a temporary account or certified statement of the founder that he had provided the pecuniary stake (in the latter case it is necessary to forward within 5 days from the submission of the application, evidence that the financial resources have been provided and paid onto company account)
  • decision on appointment of a company representative, unless a representative has been appointed by the memorandum of association.
  • certified signature of the representative.

For partnership companies:

The following is enclosed with the registration application:

  • evidence of founder’s identity (photocopy of identity card or passport)
  • contract on company founding, with certified signatures of founders
  • certified signature of representative

For limited partnership company:

The following is to be enclosed with the registration application:

  • evidence of founder’s identity (photocopy of identity card or passport of physical entity and/or excerpt from the register in which the legal entity is registered)
  • contract on company founding, with certified signatures of founders
  • bank certificate on effected payment of pecuniary stake onto a temporary account by the fully liable partner or his certified statement indicating that he has provided the pecuniary stake
  • decision on appointment of a company representative, unless a representative has been appointed by the memorandum of association
  • certified signature of representative

For joint stock company:

The following is to be enclosed with the registration application:

  • evidence of founder’s identity (photocopy of identity card or passport of physical entity and/or excerpt from the register in which the legal entity is registered)
  • founding document (decision or contract) with certified signatures of founders
  • bank report on subscribed shares
  • bank report on deposited pecuniary stakes onto a temporary account
  • evidence of announcement and content of public invitation for subscription and payment of shares (brochure), will brochure approval by a competent authority
  • estimate of authorized estimator of the value of the founder’s non-pecuniary stake
  • decision on appointment of company representative, unless a representative has been appointed by the memorandum of association
  • certified signature of representative

The following is not to be enclosed in the case of closed joint stock companies:

  • bank report on subscribed shares
  • evidence of announcement and content of public invitation for subscription and payment of shares
  • estimate of authorized estimator of the value of the founder’s non-pecuniary stake
